Jio IPO: Rs 30,213-crore bet on India’s digital future- 10 things investors must know

Ahead of what is set to be one of India's most significant market debuts, HDFC Securities has released its comprehensive IPO research note evaluating Jio Platforms Limited. As the company prepares to open its public subscription from October 21 to October 23, 2026, here are the ten key takeaways every investor should know about Jio's corporate architecture, financial health, and strategic growth trajectory:
1) Mega Rs 30,213 crore fresh issue to fund balance sheet deleveraging
Jio Platforms is coming to market with a 100% fresh issue of up to 270 million equity shares aggregating up to Rs 30,213 crore (Rs 302,130 million) at a price band of Rs 1,065 to Rs 1,119 per share. Out of the net proceeds, Rs 275,000 million is earmarked for the full or partial prepayment of outstanding borrowings incurred by its primary operating subsidiary, Reliance Jio Infocomm Limited (RJIL), with the remainder allocated to general corporate purposes.
2) Industry dominance with 533 million subscribers and 60% data share
Jio operates India’s largest digital network, serving 533.3 million subscribers as of June 30, 2026. Its wireless network covers over 99% of India’s population, backed by 26,800.8 MHz of spectrum across low, mid, and millimeter-wave bands. This massive infrastructure enabled Jio to carry approximately 60% of India's total wireless data traffic in Fiscal 2026 while maintaining operating costs below the industry average.
3) Vertically integrated technology stack and 7,220 patents
Unlike traditional telecom operators, Jio functions as a full-stack technology powerhouse. It owns its proprietary technology across network infrastructure, software, operating systems (like JioBharat OS), and digital applications. As of June 30, 2026, Jio and its subsidiaries have filed 7,220 patents globally (1,043 granted), making it the only Indian firm listed in the top 20 of WIPO's PCT international patent rankings in 2025.
4) India’s only standalone 5G stack powered by JioBrain AI
Jio stands as the sole operator in India -- and the only connectivity provider globally -- to deploy an end-to-end standalone 5G (5G SA) network at nationwide scale. Delivering speeds above 200 Mbps and ultra-low latency, the network is managed and optimized using JioBrain, Jio’s proprietary AI engine that automates real-time network capacity allocation and fault monitoring.
5) Stellar profitability trajectory: Revenue reaches Rs 1.47 lakh crore
Jio’s financial profile demonstrates expanding top-line growth and resilient margins. Consolidated Revenue from Operations expanded from Rs 1,095,581 million in FY24 to Rs 1,282,184 million in FY25, reaching Rs 1,468,853 million in FY26 (and Rs 391,729 million in Q1 FY27). Net Profit (PAT) surged from Rs 214,340 million in FY24 to Rs 300,527 million in FY26, while maintaining an Operating Profit Margin (OPM) of 50.0% in FY26 and 50.6% in Q1 FY27.
6) Rapid balance sheet deleveraging and de-risking
Through disciplined capital deployment, Jio reduced its net leverage ratio from 0.88x in Fiscal 2024 to 0.36x in Fiscal 2026. Total Shareholder Funds grew to Rs 3,359,769 million in FY26 (and Rs 3,437,950 million by Q1 FY27), positioned for further fortification once debt prepayment proceeds from the IPO are applied.
7) Home broadband leadership via JioFiber and JioAirFiber
Jio is India's largest fixed broadband provider, boasting 28.6 million customers as of June 30, 2026. Utilizing point-to-multi-point Unlicensed Band Radio (UBR) technology, JioAirFiber delivers fiber-like wireless broadband up to 1 Gbps without requiring last-mile physical fiber laying.
The connected home ecosystem is anchored by the Jio Set-top-box and JioTV+, integrating 1,000+ digital channels and 15 OTT services.
8) Capturing the 261 million 2G-to-4G migration headroom
Growth is underpinned by structural tailwinds across India's mobile market. With 261.0 million mobile users nationwide still on legacy 2G networks as of Q1 FY27, Jio is actively capturing this audience using low-cost JioBharat phones bundled with UPI payments and streaming. Industry-wide mobile broadband ARPU is projected to rise from Rs 199.5/month in FY26 to Rs 326.4/month by FY31.
9) Enterprise expansion and international IP monetization
Beyond retail consumers, Jio is expanding its B2B portfolio across micro, small, and medium enterprises (MSMEs) and large corporates through CPaaS, IoT (JioThings), cloud security, and Enterprise AI. Furthermore, Jio plans to monetize its exportable in-house IP—such as cloud-native 5G core architectures and OSS/BSS platforms—in global markets through partnerships with international telecom operators.
10) Critical risk factors highlighted by analysts
HDFC Securities outlines several investment risks, including:
* Subsidiary Concentration: Heavy reliance on RJIL, which contributes almost all consolidated revenue and cash flows.
* Group Dependencies: Master distribution agreement dependency on Reliance Retail Limited for prepaid acquisition.
* Regulatory & License Pressures: Spectrum renewal costs, statutory compliance, and strict net neutrality regulations.
* Promoter Control: Concentration of voting control, with the Promoter Group retaining 64.48% post-issue shareholding.
